These Website Terms & Conditions (“Terms”) govern your use of the Toro Photo Company website (the “Site”). “Toro Photo Company,” “we,” “us,” and “our” refer to Toro Photo Company. By accessing or using the Site, you agree to these Terms and our Privacy Policy (below). If you do not agree, do not use the Site.

1) General Provisions

4) Digital Products

We may offer digital products such as guides, checklists, educational resources, or other downloadable materials (“Digital Products”). When you purchase or download a Digital Product, you receive a limited, non-exclusive, non-transferable, revocable license to use it for your personal use (or internal business use if explicitly stated at the point of purchase).

You may not:
Resell, redistribute, share, sublicense, or transfer any Digital Product
Upload Digital Products to shared/public drives or membership libraries
Remove copyright notices or claim the Digital Product as your own
Use Digital Products to create competing products or offerings
We reserve the right to revoke access or pursue remedies if misuse occurs.

5) Digital Products Return Policy

Photography and photo booth experiences and outcomes may vary due to factors outside our control (venue rules, timelines, lighting, weather, guest participation, and other circumstances).

10) Earnings Disclaimer

If the Site contains marketing, business, or educational content (including pricing, strategy, or growth-related information), you acknowledge that any results or earnings discussed are not guaranteed and will vary depending on numerous factors including your effort, market conditions, experience, and business decisions.

16) Venue & Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to the Arbitration clause below, any dispute shall be filed in the state or federal courts located in [Duval County, Florida / your county], and you consent to personal jurisdiction and venue there.

17) Arbitration

PLEASE READ CAREFULLY. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your use of the Site will be resolved by binding arbitration rather than in court, except that either party may seek injunctive relief in court to prevent unauthorized use of intellectual property.

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules and will take place in [Duval County, Florida / your county], unless the parties agree to a remote proceeding. The arbitrator may award any relief permitted by law. Each party will bear its own attorneys’ fees and costs unless the arbitrator awards otherwise.

Class Action Waiver: You and Toro Photo Company agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding, to the extent permitted by law.
